Introduction

These General Terms and Conditions (the “Terms”) govern the use of the website operated by Iliana IT Services EOOD, a company incorporated under the laws of the Republic of Bulgaria which registered number is 207042502 and which registered address is at Republic of Bulgaria, 1404 Sofia, residential district “Strelbishte” No. 18A, (hereinafter referred to as “Supplier”, “we”, “us”). By accessing or using this website, including any demonstration environment of our AI digital agent tool (the “Demo”), you agree to be bound by these Terms. If you do not accept them, you should refrain from accessing and using the website and the Demo.

If you enter into a commercial relationship with us, the Master SaaS Terms, the Subscription Agreement, and their incorporated documents such as the Acceptable Use Policy and Data Protection Addendum will apply in addition to these Terms and shall prevail in case of any conflict.

These Terms constitute the full agreement between you and the Supplier regarding your access to and use of the website and Demo and supersede any prior understandings relating to the same subject matter. No joint venture, partnership, employment or agency relationship is created between you and the Supplier by your use of the website or the Demo. You may not transfer or assign any rights or obligations under these Terms without our prior written approval. We may transfer our rights or obligations in connection with a group restructuring or a transfer of business assets.

By accessing the website or Demo, you confirm that you are legally able to enter into binding obligations under applicable law. If you are acting on behalf of a legal entity (e.g. a company or organisation), you represent that you have authority to bind that entity to these Terms.

Definitions

For the purposes of these Terms, “AI Agent” refers to our interactive conversational AI system (digital avatar) capable of collecting customer information, interacting through text or voice, and generating a video summarising the collected information. When interacting with the AI Agent, you are interacting with an AI system.

“Customer Data” refers to any information, including Personal Data, provided or uploaded by you during your use of the website or Demo, while “Personal Data” carries the meaning given under applicable data protection legislation. 

“Demo” means the non-production environment accessible through this website for evaluation purposes of the AI Agent only.

“Input” means any data, content, instructions, prompts, queries, files, or other materials submitted, uploaded, transmitted, or otherwise provided by the user for the purpose of generating Output or enabling the functionality of the Demo. Input includes both text-based and non-text-based submissions, regardless of format or method of delivery. For clarity, Input does not include system-generated metadata, operational logs, or any elements of the Demo that are not intentionally provided by the user.

“Output” means any data, content, results, responses, text, images, code, recommendations, or other materials generated by or produced through the Demo in response to inputs, prompts, queries, or other interactions submitted by the user. For the avoidance of doubt, Output does not include the underlying models, system parameters, training data, algorithms, or other proprietary components of the Demo.

“Personal Data” means any information that relates to an identified or identifiable natural person as further defined in EU General Data Protection Regulation (“GDPR”). For the sake of completeness, an identifiable person is someone who can be recognized, directly or indirectly, in particular by reference to identifiers such as a name, identification number, location data, online identifier, or to one or more factors specific to that person’s physical, physiological, genetic, mental, economic, cultural, or social identity. This includes information that on its own, or when combined with other data reasonably likely to be used, can be used to identify a living individual.

Access to the Website and Demo

The website is provided for general informational purposes and is made available on a temporary and “as available” basis. We do not guarantee continuous, uninterrupted, or error-free access to the website or the Demo. Access to the Demo is granted solely to allow you to evaluate the AI Agent. This access is limited, may be restricted at our discretion, and can be suspended or withdrawn without prior notice. The Demo is not intended for production use, and no operational, performance, or availability commitments apply.

You acknowledge that any reliance on Demo results for commercial, business, operational, or other decision-making is entirely at your own risk.

Permitted Use

We grant you a limited, personal, non-exclusive, and revocable right to access and use the website and the Demo in accordance with these Terms. This right does not permit any reproduction, modification, distribution, reverse-engineering or extraction of any component of the AI Agent or its underlying models. You may not circumvent security mechanisms, attempt to bypass authentication, or use the Demo in any manner, including through unauthorised automation, scraping, or the introduction of harmful code.

You should not use the website or Demo in a way that could disrupt, degrade, or harm the performance or integrity of the systems, networks, or infrastructure supporting the AI Agent. This includes, amongst others, avoiding excessive automated queries, circumventing access controls, attempting to extract underlying models, or probing the system for vulnerabilities.

You may not misrepresent the origin of any output generated by the Demo or imply that the output is exclusively human‑generated when this may mislead others. If you share or publish any Demo output, you are responsible for ensuring transparency to the extent required under applicable law.

You also may not incorporate Demo outputs into your commercial systems or use such outputs to train competing AI models or services. Any use of the AI Agent beyond the permitted evaluation scope, which is restricted to non‑commercial testing and assessment of the Demo’s functionality, requires a formal commercial agreement with us.

You may not use the website or Demo to create or distribute content that is harmful, illegal, deceptive, discriminatory, violent, or that violates the rights of others. This includes impersonation of real individuals without authorisation.

Intellectual Property Rights

All intellectual property rights in and to the website, the AI Agent (including its applications, models, avatars and associated software), documentation, text, images, design elements, and all other materials provided by or on behalf of the Supplier (“Supplier Materials”) belong to and remain vested exclusively in the Supplier or its licensors. Nothing in these Terms transfers ownership of any such rights to you.

As between you and the Supplier, and to the extent permitted by applicable law, you (a) retain your ownership rights in Input and (b) own the Output. We hereby assign to you all our right, title, and interest, if any, in and to Output.

Except for the limited rights to access and use the website and the AI Agent in accordance with these Terms, you acquire no rights of ownership, title or interest in any intellectual property belonging to the Supplier or its licensors.

Use of the website or AI Agent does not grant you any right to receive or access the source code, object code or standalone software of the Supplier.

Customer Data remains owned by you. However, you grant the Supplier a royalty‑free, non‑exclusive, non‑transferable right to host, view, use, copy and otherwise process Customer Data and any systems you interact with through the AI Agent solely to operate, maintain, secure, support or improve the website and AI Agent.

You should not copy, reproduce, modify, adapt, publish, distribute or create derivative works from any Supplier Materials. You should not attempt to reverse engineer, decompile, disassemble, observe, study or extract source code or underlying algorithms of any part of the website or AI Agent. You should not combine or integrate the AI Agent or any Supplier Materials with other services or software except as permitted on the website.

You should not upload or use any third-party materials (“Non-Supplier Materials”) in a way that breaches any applicable third-party terms and applicable laws. The Supplier has no responsibility for the use, availability, compatibility or performance of such third-party materials.

Demo Outputs and AI Disclaimers

The AI Agent generates outputs automatically based on algorithms, underlying models, and Customer Data you provide. Because of the nature of generative AI technologies, such outputs may be inaccurate, incomplete, imprecise, inconsistent, repetitive, omit relevant information, or fail to reflect real‑world situations. Outputs may also be similar to those generated for other users. We make no guarantee that any output will be correct, complete, error‑free, suitable for your intended use, compliant with regulatory or industry standards, or free from third‑party intellectual property assertions. You are solely responsible for assessing whether any output is appropriate, reliable, or lawful for your purposes and whether human review is required before relying on it. These limitations reflect the experimental and non‑production nature of the Demo.

Any synthetic audio, image, video or text generated by the AI Agent in the Demo (including video summaries) will be marked in a machine‑readable manner and designed to be detectable as AI‑generated or manipulated, using effective and interoperable techniques consistent with the state of the art.

Data Protection and Security

The handling of Personal Data through this website and the Demo is governed by our Privacy Policy. Personal Data submitted to the Demo may be encrypted and stored in a secure vault accessible to you (your business organisation) for the purposes of evaluating or testing the AI Agent.

You should not submit special categories personal data – such as data relating to health, ethnicity, religion, biometric identifiers, or sexual orientation – unless we have expressly permitted this.

You may not upload data that is unlawful, defamatory, offensive, discriminatory, or that infringes any third-party rights.

We may process technical and operational data relating to your use of the website and Demo (e.g., logs, usage statistics, diagnostic information) for security, support, analytics, and service‑improvement purposes. Such processing is carried out in accordance with our Privacy Policy and applicable data protection laws.

You acknowledge that any Personal Data you input into the Demo is submitted at your discretion and responsibility. You must ensure that any individuals whose Personal Data you submit have received all necessary notices and that you hold all legally required permissions or consents.

You must not upload Personal Data of individuals without their knowledge or consent, nor may you upload sensitive categories of data unless expressly authorised.

Security Obligations

You are responsible for ensuring that your own systems, devices, and network are secure when accessing the website and the Demo. You should not attempt to probe or test the vulnerability of the Demo or any part of our infrastructure, nor may you attempt to bypass authentication or interfere with the systems of the Supplier or any other user.

You agree not to attempt to gain unauthorised access to the website and/or the Demo, to accounts of other users, or to systems supporting the Demo. You may not introduce malware, viruses, harmful code, or use any scraping, crawling, or automated data‑collection tools.

Third-Party Integrations and Links

The website may include links to external websites or content controlled by third parties. Such links are provided for convenience only, and we assume no responsibility for the content, availability, or accuracy of external resources.

Where the Demo relies on third-party service providers or sub-processors, the relationship and responsibilities regarding data protection follow the structure outlined in the Privacy Policy.

We do not endorse or assume any responsibility for third‑party content, products, or services that may be accessible through the website or Demo. You are solely responsible for reviewing the terms and privacy practices of such third‑party services.

Disclaimers

We develop the AI Agent with secure‑by‑design and secure‑by‑default principles and operate a vulnerability handling process. Please report suspected vulnerabilities to petya@ilianaitservices.com During the product support period stated on our Security & Updates page, we will provide security updates and notify incidents in line with applicable law.

The website and the Demo are provided “as is” and without any warranty or representation, whether express or implied. To the maximum extent permitted by law, we disclaim all statutory or implied warranties, including fitness for purpose, merchantability, non-infringement, accuracy, availability, or reliability. We do not warrant that the Demo will be error-free or uninterrupted.

We reserve the right to modify, suspend, or discontinue the website or the Demo at any time and without prior notice.

We make no representations that any website content or Demo output will meet your expectations, achieve your outcomes, or comply with legal or industry requirements specific to your sector.

To the extent permitted under the applicable law, we do not guarantee that the Demo is free from infringement risks or that the use of outputs will not result in claims from third parties.

Limitation of Liability

By using the website and the AI Agent you acknowledge and agree that that the Supplier shall be liable only and exclusively for gross negligence and wilful misconduct. Any other grounds for liability are hereby explicitly excluded.

Further, to the fullest extent permitted by law, we shall not be liable for any indirect, consequential, or special losses, including loss of profits, revenue, business, data, or goodwill. We will not be liable for losses resulting from reliance on Demo outputs, inability to access the Demo, system interruptions, delays, errors, or any other disruption.

To the extent permitted by law, the Supplier has no responsibility for any loss, damage, failure or non‑conformity arising from: (a) modifications made by you or on your behalf; (b) your use of any Non‑Supplier Materials; (c) your Customer Data; (d) misuse of the website or the AI Agent; (e) use that is contrary to these Terms; or (f) use in combination with any unauthorised software, hardware or data.

You acknowledge that the Demo is provided without any service‑level commitments and should not be used for critical business operations.

Suspension and Termination

We may suspend or terminate your access to the website and/or the Demo at any time, with immediate effect, if we reasonably believe that you have breached these Terms or engaged in misuse of the website or the AI Agent. Upon termination, all rights and licences granted to you under these Terms will automatically cease. Any data stored within the Demo environment may be deleted in accordance with our Privacy Policy and applicable data‑retention rules.

If your access is suspended or terminated due to suspected misuse or breach, we may also disable your ability to generate, retrieve, or access outputs. Following termination, you must immediately stop all use of the Demo and delete any materials the retention of which is prohibited under these Terms.

Updates to These Terms

We may update these Terms from time to time to reflect legal, technical, or business developments. Any revised Terms will take effect upon publication on the website, unless a later effective date is stated. Material changes will be communicated through the website or via in‑product notifications. Your continued use of the website or the Demo after the revised Terms become effective constitutes your acceptance of the updated Terms.

Feedback and Assignment of Rights

If you provide any comments, suggestions, ideas, or other feedback relating to the website or the AI Agent (“Feedback”), you grant the Supplier a perpetual, irrevocable, worldwide, transferable and sublicensable, royalty‑free right to use, copy, modify, distribute, commercialise, and otherwise exploit such Feedback for any purpose.

You hereby assign (and shall procure the assignment of) all intellectual property rights in the Feedback to the Supplier with full title guarantee, including all rights arising now or in the future.

Governing Law and Jurisdiction

These Terms, as well as the use of the website and the AI Agent, including any related contractual and non-contractual matters, are governed by and shall be construed under the laws of the Republic of Bulgaria.

Any dispute, whether contractual or non-contractual, arising from or relating to these Terms and/or the use of the website and the AI Agent shall be subject to the exclusive jurisdiction of the courts of Sofia, Republic of Bulgaria.
